Client Engagement Contract
This contract is established from the date terms are agreed upon via email exchange between Radia Ventures Limited (trading as UKTyping), a company registered in England and Wales (No. 2685805), with its registered office at Kings Lodge, London Road, West Kingsdown, Sevenoaks, Kent, TN15 6AR (“UKTyping”), and the customer identified in the email agreement (“the Client”).
Services Provide
1. UKTyping agrees to provide the Client with pay-as-you-go audio transcription, copy typing, document editing, and document management services. Documents submitted by the Client will be returned in the transcribed or edited format as per the terms agreed via email.
2. ‘Client data’ refers to all data provided by the Client to enable UKTyping to deliver its services. UKTyping commits to maintaining the confidentiality of all Client data.
3. The Client agrees to compensate UKTyping for services used with no deposits or fixed fees required. Payment is due within 21 days of the date on the invoice for services rendered. Late payments will incur an interest charge of 8% per annum. Payments are to be made in full, with any claims or adjustments to be resolved separately.
4. Services such as professional support, research, and project management are not covered by this contract and are subject to separate agreements.
5. The Client’s request for the use of standardised document formats or custom programming may incur additional fees.
6. The Client is responsible for reviewing the quality and accuracy of all services provided. UKTyping is not liable for any errors or omissions once the work is delivered.
7. UKTyping will delete all Client data 7 days after the settlement of all outstanding invoices related to the project.
Termination
1. Either party may terminate this agreement immediately by providing written notice to the other party.
General Terms
1. Force Majeure: Neither party is liable for failure to perform due to events outside reasonable control, including natural disasters, government actions, strikes, or war.
2. Complaints and Dispute Resolution: The Client should communicate issues directly to the designated UKTyping contact. Disputes will be resolved through arbitration.
3. Jurisdiction and Amendments: Governed by English Law and subject to the exclusive jurisdiction of its courts. UKTyping may revise the contract terms with one month’s notice. If revisions are unacceptable, the Client may terminate per the termination clause.
